Marrakech – The Casablanca Stock Exchange has notified Morocco’s Competition Council of a plan to acquire exclusive control of NT Soft SARL, a Moroccan company specialized in the editing and development of software solutions.
The deal would unfold in two stages, beginning with the purchase of 80% of NT Soft’s share capital before a full acquisition of its remaining shares at a later point.
The Competition Council received the notification of economic concentration under Article 13 of Law 104-12 on the freedom of prices and competition, along with Article 10 of its implementing decree, 2-14-652. The regulator has classified the transaction as an exclusive takeover in the information technology services sector.
NT Soft develops software for brokerage firms, insurance companies and intermediaries, pharmacies and pharmaceutical wholesalers, and law firms. It is a Moroccan limited liability company registered in Casablanca’s commercial registry, with headquarters on Boulevard Abdelmoumen in the city.
According to the company, 15 of the 16 brokerage firms on the Casablanca market use its systems, and it reports more than 300 clients and over 25 years of activity across finance, insurance, pharmacy, and legal services.
On the acquiring side, the Casablanca Stock Exchange organizes and manages Morocco’s stock market. In that role, it operates and develops the market infrastructure needed for the listing and trading of financial instruments. Its capital is held mainly by the Caisse de Dépôt et de Gestion (CDG), banks, insurance companies, and brokerage firms.
The proposed acquisition now follows the procedure set out under Morocco’s competition rules. Interested third parties have ten days from the publication of the notice to submit their observations, a window that closes on September 9.
The Competition Council has cautioned that publication of the notice does not confirm the completeness of the file, nor does it prejudge the regulator’s position on the planned operation. It added that the information in the summary was prepared by the notifying parties, who bear sole responsibility for its accuracy. The communiqué was issued in Rabat on August 28.
